“Integrating Cultures in a Merger/Acquisition”

Presented by Terry L. Mellendorf

(Breakfast Meeting)

“By most accounts, the M&A failure rate is somewhere between 70 to 80 percent.” — CFO.com

Each company has its unique history, attributes, and ways of doing things - its culture. When a merger or acquisition happens, how do we deal with the differences between organizational cultures? Almost every merger or acquisition faces challenges of potential culture clash. Post-deal integration becomes increasingly essential to the success of capturing the real value of a deal. Yet every year, mergers that otherwise should have been successful, fail to meet their stated goals because of a lack of appreciation for the critical role that culture plays in organizational performance and the challenges in integrating two companies with differing cultures.

In this presentation, Terry Mellendorf will draw on his considerable experience with large and small mergers and acquisitions to explain:

  1. Why culture matters
  2. How to assess cultures before a merger and identify potential issues
  3. Key factors in accelerating the adoption of new cultural norms
  4. How cultural integration can get derailed
