Each company has its unique history, attributes, and ways of doing things - its culture. When a merger or acquisition happens, how do we deal with the differences between organizational cultures? Almost every merger or acquisition faces challenges of potential culture clash. Post-deal integration becomes increasingly essential to the success of capturing the real value of a deal. Yet every year, mergers that otherwise should have been successful, fail to meet their stated goals because of a lack of appreciation for the critical role that culture plays in organizational performance and the challenges in integrating two companies with differing cultures.
In this presentation, Terry Mellendorf will draw on his considerable experience with large and small mergers and acquisitions to explain:
- Why culture matters
- How to assess cultures before a merger and identify potential issues
- Key factors in accelerating the adoption of new cultural norms
- How cultural integration can get derailed

Terry Mellendorf is a former Human Resources executive with over 30 years’ experience in Human Resources management. Until his retirement in June 2006, he served as Vice President, Employee Experience for the Sprint Nextel Corporation. In this capacity, his responsibilities included overseeing corporate-wide activities in the areas of talent acquisition, performance management, employee relations, and the tracking and use of human capital metrics to improve organizational performance and the overall employee experience.
Leading up to, and following the $45 billion merger between Sprint and Nextel Communications, Terry was co-leader of the effort to plan all people aspects of the merger. This included design and staffing of the post-merger organization, integration of all HR systems and processes, and planning for and managing the cultural integration of the two companies. In this role he reported regularly to the executive committee and the Board of Directors on progress with all people aspects of the merger.
Prior to the Sprint Nextel merger, Terry served for 10 years in a variety of senior level HR roles with Nextel Communications where his responsibilities included directing all HR generalist support, payroll administration, HR systems integration, training and development, and compensation and benefits. Before joining Nextel in 1996, Terry served in a variety of senior HR roles with a number of companies in the telecommunications and retail industries.
Terry is a graduate of the University of Steubenville in Steubenville, Ohio and attended the Graduate School of Business at the Ohio State University. He also completed the Strategic Business Leadership program at Georgetown University’s McDonough Graduate School of Business. He is a past member of the American Society of Training and Development and the Society for Human Resources Management.
